Terms of Service
Welcome to Ayureon. These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by Ayureon, Inc. ("Ayureon, Inc.," "we," "us," or "our").
By accessing or using our services — including booking an appointment through a scheduling page we operate — you agree to these Terms. If you do not agree, do not use our services.
1. Our Services
Ayureon, Inc. operates a healthcare interoperability platform that helps healthcare organizations exchange clinical data through a single API, and provides online appointment scheduling that pharmacies and clinics offer to their patients under their own name. Services include API access, developer tooling, scheduling surfaces, and supporting documentation. These Terms apply to all surfaces operated by Ayureon, Inc., including ayureon.com and all associated applications.
Ayureon, Inc. is a technology company, not a healthcare provider. When you book an appointment through a scheduling page powered by Ayuva®, your care — including vaccine administration, clinical screening decisions, and medical recordkeeping — is provided by the pharmacy or clinic named on that page, under its own professional licenses and policies. Nothing on our platform constitutes medical advice, and no provider-patient relationship is created between you and Ayureon, Inc.
2. Eligibility
To create an account or enter into these Terms, you must:
- Be at least 18 years of age.
- Provide accurate and complete information.
- Have the legal capacity to enter into a binding agreement.
Appointments for minors may be booked by a parent or legal guardian where the pharmacy or clinic's policies permit, subject to the consent and eligibility rules presented during booking.
3. Accounts and Security
Where an account is offered:
- You are responsible for maintaining the confidentiality of your account credentials.
- You agree to provide accurate, current, and complete information and to keep it updated.
- You must notify Ayureon, Inc. promptly of any unauthorized access to your account.
- Ayureon, Inc. may suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.
4. Use of the Platform
4.1 Permitted Use
The platform is intended for use by healthcare organizations, developers, and authorized end users — including patients booking appointments — for legitimate clinical and operational purposes consistent with applicable law.
4.2 Health Information
Where the platform processes health information on behalf of a pharmacy, clinic, or other covered entity, Ayureon, Inc. acts as a business associate under HIPAA pursuant to a written Business Associate Agreement. Our Privacy Policy describes our data practices; the healthcare provider's own Notice of Privacy Practices governs its use of your health information.
4.3 API Access
Programmatic access to the Ayureon, Inc. API is governed by these Terms and, where applicable, your organization's services agreement. You must not exceed published rate limits, attempt to reverse engineer the service, or circumvent access controls.
5. Fees and Payment
Fees for organizational customers (such as pharmacies, clinics, and API subscribers) are set out in the applicable order form or services agreement. Where subscription services renew automatically, we provide notice of renewal terms and at least 30 days' notice before any price increase takes effect, and customers may cancel before the next billing period. Booking an appointment through an Ayuva®-powered scheduling page is free to patients; any charges for healthcare services are set by, and payable to, the healthcare provider.
6. Prohibited Conduct
You agree not to:
- Provide false, misleading, or incomplete information, including when booking appointments.
- Use our services for any unlawful purpose.
- Interfere with or disrupt our services, servers, or networks.
- Attempt to access accounts, systems, or data belonging to others.
- Use automated systems (bots, scrapers) to access our services without written permission.
- Reproduce, distribute, or create derivative works from Ayureon, Inc.'s content without written permission.
7. Intellectual Property
All content, software, trademarks, and materials on our platforms are the property of Ayureon, Inc. or its licensors. Pharmacy and clinic names and logos shown on scheduling pages are the property of their respective owners and are used with permission. You may not use Ayureon, Inc.'s trademarks (including "Ayureon" and the Ayureon mark, and "Ayuva" and the Ayuva mark) without our written permission.
8. Disclaimers
- Our services are provided "as is" and "as available" without warranties of any kind, except as required by law.
- Ayureon, Inc. does not guarantee that our services will be uninterrupted, error-free, or secure at all times.
- Healthcare services booked through the platform are provided solely by the healthcare provider. Ayureon, Inc. does not endorse or guarantee any provider, treatment, or outcome, and downstream clinical decisions remain the responsibility of the treating provider.
9. Limitation of Liability
To the maximum extent permitted by law:
- Ayureon, Inc.'s aggregate liability for all claims arising from your use of our services is limited to the total fees you paid to Ayureon, Inc. in the 12 months preceding the claim.
- Ayureon, Inc. is not liable for indirect, incidental, consequential, or punitive damages.
- This limitation does not apply to claims arising from gross negligence, willful misconduct, or violations of applicable law, and nothing in these Terms limits rights that cannot be limited under applicable law.
10. Indemnification
You agree to indemnify and hold harmless Ayureon, Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your violation of these Terms or your misuse of our services.
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
11.2 Arbitration
Any dispute arising from these Terms or your use of our services will be resolved through binding arbitration in Austin, Texas, administered by the American Arbitration Association under its applicable rules, except that either party may seek injunctive relief in court for intellectual property or confidentiality matters.
11.3 Class Action Waiver
You agree to resolve disputes with Ayureon, Inc. on an individual basis. You waive the right to participate in any class action, class arbitration, or representative action.
12. Modifications
Ayureon, Inc. may update these Terms periodically. Material changes will be communicated via prominent notice on our website (and by email, where we have an appropriate address on file). Continued use of our services after the effective date of changes constitutes acceptance.
13. Termination
Ayureon, Inc. may suspend or terminate your access to our services if you violate these Terms, engage in prohibited conduct, or for any other reason with reasonable notice. Upon termination, your right to use our services ceases immediately, but provisions that by their nature should survive will remain in effect.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
